Terms of Service
Draft for review — not yet effective. Company registration and legal review are pending.
Status: DRAFT — not published, not reviewed by counsel. Proposed launch operator: new Korean corporation (September 2026). Remaining placeholders: registered identity/address, liability clauses, publication date and completed review. Remaining placeholders in `[SQUARE BRACKETS]` need the founder decisions in `FOUNDER-DECISIONS.md` before this can go live.
Draft revision: 2026-09-11. No effective date until approved for publication.
Launch facts confirmed by Tara — 2026-09-11: the intended operator is a new company to be incorporated in the Republic of Korea in September 2026. `knot.e / 노트` remains a proposed name, not a confirmed registered identity. Privacy contact: 권경아, Founder; hello@altr.haus. Registered company name, registration number and office address remain pending. These terms do not represent the company as already incorporated.

1. Who we are
ALTR is operated by [REGISTERED NAME OF NEW KOREAN COMPANY], a company incorporated in the Republic of Korea, business registration number [REGISTRATION NUMBER], registered office [REGISTERED ADDRESS]
[PRE-PUBLICATION CHECK: incorporation and the above identifiers must be verified; September 2026 is the founder's planned incorporation month, not proof of registration.]
("ALTR", "we", "us").
You can reach us at hello@altr.haus.
2. What these terms cover
These terms govern your use of altr.haus, demo.altr.haus, and any ALTR service you access through them (the "Service"). By using the Service you agree to them. If you are using the Service for an organisation, you confirm you are authorised to accept these terms on its behalf, and "you" means that organisation.
3. What ALTR is — and what it is not
ALTR provides software for brands and rights holders to manage sponsorship and licensing workflows. Available functionality depends on the host and release. Demonstration data and future capabilities are not promises of live service.
Agency services — including merchandise sales support, sponsorship matching, pop-up planning and artist/content coordination — require a separate written scope of work stating deliverables, authority, fees and any cancellation terms. An account or invitation alone does not appoint ALTR as an agent or create an agency engagement. If ALTR becomes a party to a transaction, that separate agreement must identify its role explicitly.
To be explicit about what we are not:
- We are not a bank, a payment institution, or a money transmitter. We do not hold your money.
- We are not a broker, dealer, or investment adviser. Nothing on the Service is investment advice or an offer of securities.
- Account access alone does not make ALTR a party to your deals. Your counterparty agreements remain separate unless ALTR expressly joins them in writing.
- We do not custody customer funds. Where settlement involves a blockchain, value moves between the parties' own addresses under conditions the parties set. Where it involves conventional currency, it moves on the rails of licensed third parties who are responsible for that leg.
4. The beta
demo.altr.haus is an invitation-only beta. An administrator may approve a personal or company email; the recipient must verify control of that address. altr.haus exposes only capabilities that have been separately released. Corporate-email self-signup is planned and must be enabled and verified before it is described as currently available in the published terms.
That has consequences you should assume rather than be surprised by:
- Access may be granted, limited, suspended or withdrawn at our discretion.
- Features may change or be removed without notice.
- Settlement functionality currently runs on test networks. Tokens and transactions on a test network have no monetary value. Do not treat a testnet transaction as a settled payment.
- Data created during the beta may be reset. Keep your own records of anything that matters to you.
- The Service is provided for evaluation, and we make no commitment that any beta feature will reach general availability.
5. Your account
You need an account for most of the Service. You agree to give accurate information, keep it current, and keep your credentials secure. Tell us promptly at hello@altr.haus if you believe your account has been accessed without your authorisation.
We may refuse, suspend or terminate an account where we reasonably believe it is being used in breach of these terms or applicable law.
6. Wallets and keys
Some sign-in methods create or connect a blockchain wallet.
Read this part carefully, because it is the part with no undo. Blockchain transactions are irreversible. If you sign a transaction, neither we nor anyone else can reverse it. If you control your own private key and lose it, the assets that key controls are permanently inaccessible — we cannot recover them, because we do not have them.
The current settlement release is for test networks only. Do not transfer real funds to a demo-generated address. A connected external wallet may also hold real assets elsewhere; connecting it does not authorise ALTR to move those assets. Email sign-in and an automatically generated account handle do not establish that a payment wallet has been connected or is ready for real-value settlement.
7. Acceptable use
Do not use the Service to:
- break any law, or help anyone else do so
- launder money, finance terrorism, or evade sanctions
- infringe intellectual property or other rights
- misrepresent who you are or who you are authorised to act for
- attack, probe, overload or reverse-engineer the Service, or circumvent its access controls
- scrape or bulk-extract data without our written permission
We may investigate suspected breaches and take proportionate action, including suspending access and, where the law requires it, reporting to authorities.
8. Intellectual property
Ours. The Service — software, design, text, marks — belongs to ALTR or our licensors. These terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. Nothing more is implied.
Yours. Content you upload stays yours. You grant us the licence we need to host, process and display it in order to run the Service for you, and nothing beyond that. We do not sell your content and we do not use it to train models.
Feedback. If you send us suggestions, we may use them without obligation to you. We think that is fair for a beta; if it is not acceptable, please don't send suggestions.
9. Third-party services
The Service depends on third parties — hosting, email delivery, authentication, blockchain networks, and (for conventional currency) licensed payment providers. We choose them with care, but we do not control them, and we are not responsible for their acts or omissions. Public blockchains in particular are operated by no one and guaranteed by no one.
10. Disclaimers
To the fullest extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or secure against every attack, nor that any blockchain network it relies on will operate as expected.
This is a beta. Do not rely on it for anything you cannot afford to have go wrong.
11. Limitation of liability
To the fullest extent the law allows:
- We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, or business opportunity.
- Our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amounts you paid us in the twelve months before the claim, or (b) [CURRENCY + AMOUNT].
Nothing in these terms limits liability that cannot lawfully be limited — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, and, where you are a consumer, your mandatory statutory rights.
[COUNSEL: the entity is Korean, so 약관의 규제에 관한 법률 (Act on the Regulation of Terms and Conditions) applies and may render an unqualified cap unenforceable regardless of the figure. Confirm the ceiling and the carve-outs before publication.]
12. Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these terms, your misuse of the Service, or your violation of the rights of a third party.
13. Changes
We may change these terms. If a change is material, we will give reasonable notice — by email or a notice in the Service — before it takes effect. Continuing to use the Service after that means you accept the change. If you do not accept it, stop using the Service.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these terms, if we are required to by law, or if we discontinue the Service.
Sections that by their nature should survive termination — intellectual property, disclaimers, limitation of liability, indemnity, governing law — do.
15. Governing law and disputes
These terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules. Disputes will be subject to the exclusive jurisdiction of the Seoul Central District Court, unless a mandatory rule of the customer's home jurisdiction provides otherwise.
[REVIEW: the planned operating company is Korean and US/UAE are priority markets. Confirm applicable mandatory protections and dispute provisions for the actual offered services before publication.]
16. General
- Entire agreement. These terms govern general platform access. Separate signed service or deal agreements govern their stated scope; the Privacy Policy describes personal-data processing and is not blanket consent.
- Severability. If a provision is unenforceable, the rest stands.
- No waiver. Not enforcing a right once does not waive it.
- Assignment. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
